证监会公布征求意见稿 公司发行债券应聘"管理人"

    中国证监会昨日在其网站上公布了《公司债券发行试点办法(征求意见稿)》，并向社会公开征求意见。

    该办法规定，公司应当为债券持有人聘请债券受托管理人，并订立债券受托管理协议。

    办法要求，在债券存续期限内，由债券受托管理人依照协议的约定维护债券持有人的利益。公司应当在债券募集说明书中约定，投资者认购本期债券视作同意债券受托管理协议。

    此外，办法还对公司发行债券的条件、程序等作出了明确的规定。试点初期，试点公司拟限于沪深证券交易所上市的公司及发行境外上市外资股的境内股份有限公司。

    据了解，公开征求意见的期限截至2007年6月19日。
