云南白药:收购大股东两子公司

    云南白药(000538)拟收购大股东云南云药有限公司及关联方云南省药物研究所持有的昆明兴中制药有限责任公司及昆明云健制药有限责任公司全部股权，兴中制药的收购价为3700万元，云健制药的收购价为1300万元。股权转让交易完成后，云南白药持有昆明兴中和昆明云健100%的股权。

    据公告，该两家公司现均为云药有限直接及间接持有的100%股权的全资子公司。其中昆明兴中制药有限公司，注册资本2967万元，主要从事小容量注射剂、片剂、口服液等的生产、销售。该公司2006年度实现销售收入6114.92万元，净利润为267.92万元。昆明云健注册资本872万元，主要经营中西成药、植物提取原料、制剂(含花粉制剂)、中成药。该公司2006年度实现销售收入6562.75万元，净利润为247.69万元。

    据评估，评估基准日昆明兴中净资产5317.94万元，评估价值3389.49万元，减值1928.45万元，减值率达36.26%;昆明云健净资产2225.52万元，评估价值1188.50万元，减值1037.02万元，减值率达46.60%。
