中色股份:组建赤峰中色矿业投资公司

    中色股份今日在公告中披露，公司已与内蒙古赤峰市人民政府正式签订了《关于对赤峰市白音诺尔铅锌矿增资重组的协议书》。

    根据上述协议书，赤峰市政府以其持有的白音诺尔铅锌矿全部资产和矿权作价9.1亿元人民币入股，中色股份以现金人民币9.98亿元入股，双方共同投资组建“赤峰中色矿业投资有限公司”，该公司注册地为赤峰市，总股本为19.08亿元人民币，赤峰市政府持股比例为47.70%，中色股份持股比例为52.30%。

    协议规定，赤峰市政府支持中色股份及赤峰中色公司在赤峰地区进行风险探矿工作，优先保证其取得探矿权和采矿权，支持赤峰中色公司对具备条件的有色金属矿山企业进行整合。赤峰市政府按照市场经济规则，对赤峰铅锌矿山企业产品流向进行调控，严格控制铅锌精矿原料外流，保障赤峰中色公司的原料供应。

    中色股份同时也承诺其控股的赤峰中色公司及其子公司或分公司将建设中色库博红烨四期10万吨电锌及其扩建工程，总投资约15亿元，项目建成后，使赤峰地区电锌总产能达到30万吨；在资源条件许可和技术经济合理的前提下，建设白音诺尔铅锌矿采选扩建工程，投资约3亿元，项目建成后，日采选能力达到4000吨；白音诺尔铅锌矿10万吨电铅建设项目，投资约5亿元，项目投产后，铅产能达到10万吨。
