广钢股份:股权变更获得商务部批准

    广钢股份(600894)公告，第二大股东外资方金钧有限公司收购第三大股东粤海企业(集团)有限公司持有的公司7116.9万股股份的申请已获得国家商务部的批准。目前，金钧有限公司正在向中国证监会申请豁免要约收购，如有进一步消息，广钢股份将及时披露。

    9月1日，广钢股份接第二大股东金钧有限公司的通知，金钧有限公司与粤海集团签署了《股权转让协议》，金钧有限公司拟以2285万美元的兑价收购粤海集团持有的广钢股份7116.9万股股权。由于广钢股份是中外合资企业，且金钧有限公司是广钢股份第一大股东广州钢铁企业集团有限公司的全资公司，本次收购已触发了要约收购，需经国家商务部批准，同时还需获得中国证监会豁免要约收购义务。

    根据广州市国有经济产业规划，进一步加强国有经济对基础性行业的控制力度，广钢集团拟通过其在香港设立的子公司金钧有限公司受让粤海集团持有的广钢股份7116.9万股股份。
